Rental Offer Terms

Please read these offer terms carefully.

These offer terms and conditions ("Offer Terms") form a legal agreement between you ("you", "Tenant") and LETLY LTD, registered in England and Wales with company number 16256509 and registered address at Henry Wood House, 4–5 Langham Place, London W1B 3DG, United Kingdom ("Letly", "us" or "we"), in respect of:

  • the submission of an Offer to rent a property listed on Letly's software application known as Letly, including any related API, App, or Website from time to time ("Platform");

  • the provision by Letly of access to and use of the Platform and any associated services ("Services"); and

  • any online documents provided as part of the Services ("Documents").

These Offer Terms should be read alongside our Platform Terms & Conditions, which govern your use of the Platform and Services, and our Privacy Notice, which governs how we Process your Personal Data.

Important Notice

By clicking "Submit offer", you confirm that you have read, understood, and agree to be bound by these Offer Terms.

Submitting an Offer does not create a tenancy and does not guarantee that the Landlord will accept your Offer.

You should print or save a copy of these Offer Terms for future reference.

1. Definitions

The following defined terms are used in these Offer Terms:

Holding Deposit means a sum of money (capped at no more than one week's rent) paid by you to reserve a property pending entry into a Tenancy.

Landlord means the owner or authorised representative of the property in respect of which you submit an Offer.

Landlord Checking Service means the Home Office service used by Landlords and letting agents to verify a person's Right to Rent.

Offer means an offer submitted by you, through the Platform, to rent a property listed on the Platform.

Permitted Payment has the meaning given in the Tenant Fees Act 2019.

Pre-Tenancy Checks means the checks described in Section 7.

Right to Rent means the right to rent residential property in England under the Immigration Act 2014.

Tenancy means a residential tenancy agreement entered into between you and the Landlord in respect of the property to which an Offer relates.

Tenant Fees Act means the Tenant Fees Act 2019.

2. Letly's Role

2.1 Platform Function

Letly operates the Platform to help you submit an Offer to rent a property and to help the Landlord consider and process Offers (including Pre-Tenancy Checks).

2.2 Agency Capacity

Unless we tell you otherwise, Letly acts as the Landlord's agent for the purposes of negotiating and progressing your Offer. Any resulting Tenancy will be between you and the Landlord, not between you and Letly.

3. Status of an Offer

3.1 No Tenancy Created

Submitting an Offer does not create a Tenancy and does not guarantee that the Landlord will accept your Offer.

3.2 Landlord's Discretion

The Landlord may:

  1. accept your Offer;

  2. reject your Offer;

  3. submit a counter-offer; or

  4. stop marketing the property or change their instructions at any time before a Tenancy agreement is signed.

3.3 Conditions Attached to an Offer

  1. You may include conditions in your Offer (for example, start date, requests about pets or furniture, or a request for a break clause).

  2. If the Landlord accepts your Offer, those conditions are only binding if they are explicitly agreed and reflected in writing, typically in the Tenancy agreement or an agreed addendum.

4. Accuracy of Information

4.1 Your Confirmation

You confirm that all information you submit is true, complete, and not misleading, including in respect of income, employment, occupancy, pets, and any other material facts.

4.2 Duty to Update

You must tell us promptly if anything changes, including your intended move-in date, employment status, or who will live at the property.

4.3 Consequences of Inaccurate Information

If you provide false or misleading information that materially affects suitability:

  1. the Landlord may decide not to proceed; and

  2. where you have paid one, you may lose some or all of any Holding Deposit, as permitted by law.

5. Who is Covered by the Offer

5.1 Age

You confirm that you are at least 18 years old.

5.2 Joint Offers

If this is a joint Offer, you confirm that:

  1. you have authority to submit the Offer on behalf of the other proposed tenants; and

  2. they agree to these Offer Terms.

5.3 Occupants

You must provide accurate details for all occupants who will live at the property.

6. Communications and Electronic Signature

6.1 Electronic Communications

You agree that Letly may contact you electronically (including by email, SMS, WhatsApp, or in-app messaging) about your Offer, Pre-Tenancy Checks, and Documents.

6.2 Electronic Signature

You agree that clicking "Submit offer" and signing Documents electronically (where offered) has the same effect as a handwritten signature.

7. Pre-Tenancy Checks

7.1 Scope of Checks

If the Landlord wishes to proceed, you agree that Letly and/or the Landlord may carry out Pre-Tenancy Checks, which may include:

  1. identity verification;

  2. employment and income verification, and an affordability assessment;

  3. landlord and agent references;

  4. credit checks (which may leave a soft footprint on your credit file, depending on the provider); and

  5. checks on a proposed guarantor, where required.

7.2 Your Cooperation

You agree to provide information reasonably required to complete the Pre-Tenancy Checks promptly and accurately.

7.3 Use of Third Parties

We may use third-party providers to run Pre-Tenancy Checks and will share relevant results with the Landlord so that they can decide whether to grant a Tenancy.

8. Right to Rent (England)

8.1 Conditional on Right to Rent

Any Tenancy will be conditional on all adult occupiers (aged 18 or over) demonstrating a Right to Rent in line with Home Office requirements.

8.2 Initial and Follow-up Checks

You understand that a Landlord or letting agent must carry out initial and, where applicable, follow-up Right to Rent checks.

8.3 Landlord Checking Service

Where the Home Office checking route is required, Landlords and letting agents can request a check via the Landlord Checking Service and must wait for the response before entering into the Tenancy.

9. Holding Deposit

9.1 Reservation

If your Offer is accepted, or the Landlord wishes to reserve the property for you, you may be asked to pay a Holding Deposit to reserve the property.

9.2 Cap

A Holding Deposit will be capped at no more than one week's rent, and only one Holding Deposit can be accepted for a property at a time.

9.3 Information We Provide

Before a Holding Deposit is paid, we will tell you:

  1. the amount; and

  2. the circumstances in which you may lose it.

9.4 Retention

A Holding Deposit can only be retained in limited circumstances and must otherwise be repaid in line with the Tenant Fees Act guidance. In particular, it may be retained only where (as applicable):

  1. you withdraw;

  2. you fail a Right to Rent check;

  3. you provide false or misleading information that it is reasonable to take into account and that materially affects suitability; or

  4. you fail to take all reasonable steps to enter into the Tenancy when the Landlord or agent has done so.

9.5 Deadline for Agreement

After a Holding Deposit is paid, there is usually a 15-day "deadline for agreement", unless a different deadline is agreed in writing.

10. Payments and Tenant Fees

10.1 No Prohibited Payments

Letly will not ask you for prohibited payments. If a Tenancy proceeds, you may be asked for Permitted Payments only, which can include (among others):

  1. rent;

  2. a refundable tenancy deposit (capped by law);

  3. a refundable Holding Deposit (capped at one week's rent);

  4. tenant-requested early termination payments; and

  5. tenant-requested variation, assignment, or novation fees (generally capped at £50 unless reasonable costs are higher).

10.2 Timing of Payments

Any rent, tenancy deposit, and move-in monies will be payable as set out in the Tenancy agreement and the move-in instructions you receive.

11. Intended Use of the Property

11.1 Private Residential Home

You confirm that you are seeking the property as a private residential home.

11.2 Restrictions

You confirm that you will not, without the Landlord's prior written consent:

  1. sublet the property;

  2. advertise the property as a short-let, including on short-let platforms; or

  3. take in paying guests or lodgers where doing so would breach the Tenancy.

12. How We Use Your Personal Information

12.1 Purposes

Letly will Process your Personal Data to:

  1. submit and progress your Offer;

  2. carry out Pre-Tenancy Checks;

  3. share relevant information with the Landlord and authorised service providers (including referencing and identity check providers); and

  4. comply with legal obligations.

13. Complaints

If you wish to raise a complaint about an Offer or your experience with the Platform, please refer to our Customer Complaints Procedure.

14. Other Important Terms

14.1 Changes to These Offer Terms: We may update these Offer Terms from time to time. We will post the updated version on our website and, where appropriate, will notify you of material changes.

14.2 Severability: If any part of these Offer Terms is unenforceable, the rest will continue to apply.

14.3 Governing Law: These Offer Terms, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by English law. We and you irrevocably agree to the exclusive jurisdiction of the courts of England and Wales.

14.4 No Effect on Statutory Rights: Nothing in these Offer Terms affects your statutory rights or your rights under the Tenant Fees Act, the Consumer Rights Act 2015, or any other applicable consumer protection legislation.
